These Terms of Service ("Terms") govern your use of the O-GHEN Technologies website located at o-ghen.com ("Site") and any services we provide ("Services"). By accessing our Site or engaging our Services, you agree to be bound by these Terms. O-GHEN Technologies is a digital product studio registered in Delta State, Nigeria. We provide mobile application development, web application development, UI/UX design, and technology consulting services. If you do not agree to these Terms, please do not use our Site or engage our Services.

O-GHEN Technologies offers the following services: — Mobile Application Development: Native and cross-platform mobile applications for iOS and Android platforms. — Web Application Development: Scalable web platforms, dashboards, and digital products built to your requirements. — UI/UX Design: User interface design, user experience research, prototyping, and design systems. — Technology Consulting: Strategic technology guidance, architecture review, digital transformation planning, and roadmapping. All services are subject to a separate written agreement or Statement of Work ("SOW") between O-GHEN Technologies and the client before any work commences. These Terms do not constitute a service agreement or guarantee of availability.

When you submit an enquiry through our contact form, you acknowledge that: — Your submitted information (name, email address, company name, project description, and budget range) will be received by O-GHEN Technologies and may be continued via WhatsApp or email. — Submitting an enquiry does not constitute a binding contract or guarantee that we will take on your project. — We will respond to all genuine enquiries within 24 hours on business days. — Any project discussions that follow are exploratory and non-binding until a formal written agreement is signed by both parties.

Website Content: All content on this Site — including text, graphics, logos, design and code — is the intellectual property of O-GHEN Technologies and is protected under applicable copyright laws. You may not reproduce, distribute, or create derivative works without our express written permission. Client Work: For all work we produce under a paid service agreement, full intellectual property rights are transferred to the client upon final payment, unless otherwise agreed in writing. O-GHEN Technologies retains the right to display completed work in our portfolio unless the client requests otherwise in writing.

We take your project ideas and business information seriously. Any project details shared with O-GHEN Technologies during the enquiry or negotiation process are treated as confidential and will not be shared with third parties. Where a formal Non-Disclosure Agreement (NDA) is requested, we will sign one before any detailed project discussions take place. Our standard client contracts include full confidentiality provisions.

All pricing is agreed upon in writing before work commences. O-GHEN Technologies works in milestones: each project is divided into milestones, each with its own defined scope and price, and payment for a milestone is due before work on that milestone begins. Support after launch is included free for the first month following delivery; after that, it is billed monthly at the rate set out in the service agreement. The milestones, their prices, payment terms and accepted payment methods will be specified in the individual service agreement. This website does not process payments directly. All prices are exclusive of applicable taxes unless stated otherwise. International clients are responsible for any currency conversion or transfer fees.

The Site and its content are provided "as is" without warranties of any kind, either express or implied. O-GHEN Technologies does not warrant that the Site will be error-free, uninterrupted, or free of viruses. To the fullest extent permitted by applicable law, O-GHEN Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of the Site shall not exceed the amount paid by you to O-GHEN Technologies in the three months preceding the claim.

Our Site may contain links to third-party websites or services, including WhatsApp. O-GHEN Technologies is not responsible for the content, privacy practices, or terms of any third-party services. Your use of WhatsApp is subject to Meta's Terms of Service and Privacy Policy. When you click "Continue on WhatsApp" from our contact form, you are redirected to the WhatsApp application or web interface. O-GHEN Technologies does not store or control any data processed within WhatsApp.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Delta State, Nigeria, unless otherwise agreed in a separate written contract.

O-GHEN Technologies reserves the right to update or modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page.
